LED Holdings and Lighting Science Group Combine Forces
Transaction Creates Unique Lighting Solutions Company with World Class Management Team
NEW YORK, Oct. 5 /PRNewswire/ -- LED Holdings, LLC, a global leader in
custom LED (light-emitting diode) lighting solutions, and Lighting Science
Group Corporation (OTCBB: LSGP - News), a leading developer and integrator of white
light solutions using LED technology, announced today that LED Holdings has
contributed all of its assets, including $15 million in cash, to Lighting
Science Group in exchange for a combination of preferred and common stock
representing 70% of the common stock and 80% of the voting power of Lighting
Science Group on a fully-diluted basis. Affiliates of Pegasus Capital
Advisors, L.P. are the largest owners of LED Holdings and, as a result,
beneficially own approximately 42% of the common stock of Lighting Science
Group on a fully-diluted basis. Through its ownership of LED Holdings,
Pegasus will be entitled to elect a majority of the board of directors of
Lighting Science Group.
I think this company is going to be huge. There is an enormous
untapped market here. This is not mostly about consumers, although
that will happen eventually as well. It's about businesses, industry,
government, etc. and the advantages, both economic and environmental,
that a transition to LED solutions will provide. This company will
lead the way IMO. The change toward this technology is going to
explode exponentially. This is not pie in the sky. Trading at $0.48
right now (up almost 10% today on this news). This is a 10-bagger IMO.

Why not? The market is huge and the extra cost, which will come down, is already worthwhile for plenty of businesses, industries, government, etc. It lasts so much longer, meaning that it needs to be changed far less often, that alone saves time and money. It is higher quality, more flexible with colors, gives off no heat. It is inevitable and it will happen sooner than people think. Again, I'm not talking about consumers. That is still a ways down the road, though there are already some good applications, like landscaping. No question costs will come down with economies of scale as these get rolled out in force. Governments, state and local, will be a huge source as well. That's why these companies joined forces. I think it is a very good combination and the management here is absolutely top-notch.

I looked into this because of another stock months back..I think I even brought it up here..but most people here arent wanting to talk deep stuff like I do when researching a company..
And what I found is the price to produce is too high right now for LARGE acceptance..the products arent diverse enough that people can go and purchase lights that would be cost effective and also useable through the house or business.
LED will be somthing down the road, but right now the available products just arent going to attract the average consumer.
Now down the road when costing comes in and they get creative with application, yeah it will be somthing great.
In my very humble opinion I would stay away from the speculative OTCBB guys and there are several..and try to go with a larger name, someone that it is a division of a bigger company, or the best of the best.
Businesses do a cost evaluation of everything and if you were a business owner and saw the cost of these items and realize that it will take years to cover the added costs, it just isnt a purchase that many corporations will make.
But if you have a long horizon and are patient, you could really be in the drivers seat..horizon meaning 2-5 yrs..

I think it's a matter of visibility and acceptance and realizing what's out there, and getting the ball rolling. As it becomes more accepted and more visible, it will gather steam and attract more business, which will in turn reduce costs and attract more business. It's real close to the tipping point already. And it's not just corporations. Raleigh is already an LED city. Governments are moving toward this in a big way. They want to be seen as helping the environment, as do corporations...it's good PR in addition to being good products. California seems to be moving big-time in this direction. I think Chicago will as well. It's going to be a cool (literally) way of helping the environment. It's like moving analog to digital. I never imagined everything would be digital, until it just happened.
As for this company, I realize it is OTCBB right now, but with this combination, it's not as small as it seems. I think the new market cap is going to be around 130M right now. Not a microcap really. And there really aren't very many other pure plays out there on this in terms of the end product.
Thanks for the discussion.
